From the Bylaws, Second Revision April 17, 2014:
Article V, Section 5 Secretary-Clerk The Secretary-Clerk shall give such notices of meetings to members and directors as required by these Bylaws and shall keep a record of all of the meetings of members and Board of Directors. The Secretary-Clerk shall have such other powers and duties as are usually incident to that office and as may be vested in that office by these Bylaws or by the Board of Directors. In the absence of the Secretary-Clerk from any meeting of the members or directors, a temporary clerk designated by the person presiding at the meeting shall perform the duties of the Secretary-Clerk. |
